ORDINANCE
 
 
WHEREAS, the City of Chicago (the "City") is a home rule unit of government under Section 6(a), Article VII of the 1970 Constitution of the State of Illinois authorized to exercise any power and perform any function pertaining to its government and affairs; and
 
WHEREAS, the City established the Community Development Commission (the "Commission") to, among other things, designate redevelopment and conservation areas and create redevelopment plans for such areas, subject to the approval of the City Council of the City (the "City Council"); and
 
WHEREAS, the City has, through the action of the Commission (with the subsequent approval of City Council as described below), (i) reviewed and approved the Redevelopment Plan (including the acquisition of privately owned parcels by negotiated purchase or the use of the City's power of eminent domain) for the Stony Island Avenue Commercial and Burnside Industrial Corridor Redevelopment Project Area (the "Stony Island/Burnside Area") and (ii) approved the designation of the Stony Island/Burnside Area as a Redevelopment Project Area; and
 
WHEREAS, the City has found that (i) acquisition of the private property pursuant to the aforesaid Redevelopment Plan will help to eradicate blight and (ii) the City is permitted under divisions 74.2 and 74.3 of the Illinois Municipal Code, 65 ILCS 5/11-74.2 and 74.3 to acquire property in order to eradicate blight and construct redevelopment projects in redevelopment areas; and
 
WHEREAS, the City has, through action of the Commission (with the subsequent approval of City Council as described below), approved the designation of the establishment of the Stony Island/Burnside Area and found that such designation would increase the development and rehabilitation of a depressed area in the City; and
WHEREAS, on December 10, 1998 the City Council enacted ordinances (a) approving a certain Redevelopment Plan for the Stony Island/Burnside Area, and (b) designating the Stony Island/Burnside Area as a Redevelopment Project Area pursuant to the City's home rule powers, the findings of the Commission and the Illinois Municipal Code as set forth above (the "Designation Ordinance"); and
 
WHEREAS, all required procedures have been followed in the establishment of the Stony Island/Burnside Area; and
 
WHEREAS, certain real estate located generally at 1506-1520 East 87th Street in Chicago (the "Project Site"), as more precisely described on Exhibit A attached hereto and hereby made a part hereof, is located within the boundaries of the Stony Island/Burnside Area; and
 
WHEREAS, pursuant to the Illinois Enterprise Zone Act, 20 ILCS 655/5 (the "Act") municipalities may by ordinance designate a depressed area within its jurisdiction as an enterprise zone and after passage of such ordinance seek the certification of the area by the Illinois Department of Commerce and Economic Opportunity ("IDCEO"); and

WHEREAS, on December 23, 1982 the City Council adopted an ordinance establishing an enterprise zone ("Enterprise Zone 3"), appearing in the Journal of the Proceedings of the City Council of the City of Chicago, Illinois (the "Journal") on pages 14294 to 14296 (the "Enterprise Zone Designation Ordinance"), as amended, to increase development and rehabilitation of a depressed area of the City (and subsequently obtained the certification of IDCEO); and
 
WHEREAS, all required procedures have been followed in the establishment of the Enterprise Zone 3 and the Project Site is located within the boundaries of Enterprise Zone 3; and
WHEREAS, TGM Holdings, LLC, an Illinois limited liability company ("TGM"), proposes to develop the Project Site by rehabilitating an approximately 10,114 square foot building (the "Project"); and
WHEREAS, the Project will increase employment opportunities, economic activity in the area and growth in the real property tax base; and
 
WHEREAS, TGM has applied to the Office of the Assessor of Cook County, Illinois (the "Assessor") for designation of the Project Site as a Class 7a classification eligible for certain real estate tax incentives; and
 
WHEREAS, Section 4(A) of the Cook County Real Estate Classification Ordinance, as amended, (the "Classification Ordinance"), provides that an applicant for Class 7a classification must obtain an ordinance or resolution from the municipality in which the real estate is located expressly stating that (a) the municipality has determined that eligibility factors (1) through (5) under Section 4(A) of the Classification Ordinance are present, and (b) the municipality supports and consents to the Class 7a application to the Assessor; and
 
WHEREAS, the Department of Planning and Development of the City of Chicago ("DPD") has reviewed the proposed Project, has determined that it meets the necessary eligibility requirements for Class 7a designation, and hereby recommends to City Council that the City expressly determine by ordinance that (a) the required eligibility factors are present, and (b) the City supports and consents to the Class 7a application to the Assessor by TGM for the Project Site; now, therefore,
 
BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CHICAGO:
 
SECTION 1. The above recitals are hereby expressly incorporated as if fully set forth
herein.
 
SECTION 2. The City hereby determines that the Project Site, which is located within the boundaries of the Redevelopment Area and Enterprise Zone 3, meets eligibility factor (1) under Section 4(A) of the Classification Ordinance in that the Project Site is located in an area in need of commercial development as designated by the City in the Designation Ordinance and the Enterprise Zone Designation Ordinance.
 
SECTION 3. The City hereby determines that the Project meets eligibility factor (2) under Section 4(A) of the Classification Ordinance in that real estate taxes in the area during the last six years have either declined, remained stagnant and/or potential real estate taxes are not being fully realized due to the depressed condition of the area.

SECTION 4. The City hereby determines that the Project meets eligibility factor (3) under Section 4(A) of the Classification Ordinance in that there is a reasonable expectation that the Project is viable and likely to go forward on a reasonably timely basis if granted Class 7a designation and will therefore result in the economic enhancement of the area.
 
SECTION 5. The City hereby determines that the Project meets eligibility factor (4) under Section 4(A) of the Classification Ordinance in that certification of the Project Site for Class 7a designation will materially assist development, redevelopment or rehabilitation of the area and the Project would not go forward without the full incentive offered under Class 7a.
 
SECTION 6. The City hereby determines that the Project meets eligibility factor (5) under Section 4(A) of the Classification Ordinance in that certification of the Project Site for Class 7a designation is reasonably expected to ultimately result in an increase in real property tax revenue and employment opportunities within the area.
 
SECTION 7. The City hereby expressly determines that eligibility factors (1) through (5) under Section 4(A) of the Classification Ordinance are present for the Project, and hereby expressly supports and consents to the Class 7a application made by TGM to the Assessor for Class 7a designation of the Project Site.
SECTION 8. The Commissioner of DPD (the "Commissioner"), or a designee of the Commissioner, are each hereby authorized to deliver a certified copy of this ordinance to the Assessor and to furnish such additional information as may be required in connection with the filing of the application by TGM with the Assessor for Class 7a designation of the Project Site.

SECTION VII- ACKNOWLEDGMENTS, CONTRACT INCORPORATION, COMPLIANCE, PENALTIES, DISCLOSURE
 
The Disclosing Party understands and agrees that:
  1. The certifications, disclosures, and acknowledgments contained in this EDS will become part of any contract or other agreement between the Applicant and the City in connection with the Matter, whether procurement, City assistance, or other City action, and are material inducements to the City's execution of any contract or taking other action with respect to the Matter. The Disclosing Party understands that it must comply with all statutes, ordinances, and regulations on which this EDS is based.
  2. The City's Governmental Ethics and Campaign Financing Ordinances, Chapters 2-156 and 2-164 of the Municipal Code, impose certain duties and obligations on persons or entities seeking City contracts, work, business, or transactions. The full text of these ordinances and a training program is available on line at www.cityofchicago.org/Ethics, and may also be obtained from the City's Board of Ethics, 740 N.

  1. Ifthe City determines that any information provided in this EDS is false, incomplete or inaccurate, any contract or other agreement in connection with which it is submitted may be rescinded or be void or voidable, and the City may pursue any remedies under the contract or agreement (if not rescinded or void), at law, or in equity, including terminating the Disclosing Party's participation in the Matter and/or declining to allow the Disclosing Party to participate in other transactions with the City. Remedies at law for a false statement of material fact may include incarceration and an award to the City of treble damages.
  2. It is the City's policy to make this document available to the public on its Internet site and/or upon request. Some or all of the information provided on this EDS and any attachments to this EDS may be made available to the public on the Internet, in response to a Freedom of Information Act request, or otherwise. By completing and signing this EDS, the Disclosing Party waives and releases any possible rights or claims which it may have against the City in connection with the public release of information contained in this EDS and also authorizes the City to verify the accuracy of any information submitted in this EDS.
 
E.      The information provided in this EDS must be kept current. In the event of changes, the Disclosing
Party must supplement this EDS up to the time the City takes action on the Matter. Ifthe Matter is a
contract being handled by the City's Department of Procurement Services, the Disclosing Party must
update this EDS as the contract requires. NOTE: With respect to Matters subject to Article I of
Chapter 1-23 of the Municipal Code (imposing PERMANENT INELIGIBILITY for certain specified

This Appendix is to be completed only by (a) the Applicant, and (b) any legal entity which has a direct ownership interest in the Applicant exceeding 7.5 percent. It is not to be completed by any legal entity which has only an indirect ownership interest in the Applicant.
 
Under Municipal Code Section 2-154-015, the Disclosing Party must disclose whether such Disclosing Party or any "Applicable Party" or any Spouse or Domestic Partner thereof currently has a "familial relationship" with any elected city official or department head.
