WHEREAS, the City of Chicago (the "City") is a home rule unit of government by virtue of the provisions of the Constitution of the State oflllinois of 1970, and as such, may exercise any power and perform any function pertaining to its government and affairs; and

WHEREAS, pursuant to an ordinance approved by the City Council of the City (the "City Council") on September 29, 1999, and published in the Journal of the Proceedings of the City for such date (the "1999 Ordinance"), the City conveyed the property commonly known as 4201-03 South Ellis Avenue, 4200-02 South Berkeley Avenue and 4204-16 South Berkeley Avenue, Chicago, Illinois, and legally described on Exhibit A attached hereto (collectively, the "Property") to Abraham Lincoln Center, an Illinois not-for-profit corporation (the "Original Grantee"), by a quitclaim deed dated December 3, 1999, and recorded with the Office of the Recorder of Deeds of Cook County (the "Recorder's Office") on August 9,2000, as document number 00607390 (the "Original Deed"); and

WHEREAS, the 1999 Ordinance and the Original Deed required that the Property be improved with a child care center with accessory parking within twenty-four (24) months of the date ofthe Original Deed, and that the Property be used as a child care center with accessory parking open to the public for a period of twenty (20) years from the date of the Original Deed (i.e., until December 2, 2019) (collectively, the "Original Covenants"); and
