At the request of the Commissioner of Aviation, I transmit herewith an ordinance authorizing a consent to a transfer of ownership of concession leases and subleases.

ORDINANCE

WHEREAS, the City of Chicago (the "City") is a home rule unit of local government as defined in Section 6(a), Article VII of the 1970 Constitution of the State of Illinois, and, as such, may exercise any power and perform any function pertaining to its government and affairs; and

WHEREAS, the City owns and operates, through its Chicago Department of Aviation ("CDA"), airports commonly known as Chicago O'Hare International Airport ("O'Hare") and Chicago Midway International Airport ("Midway") ( collectively, the "Airports") and possesses the power and authority to lease premises and facilities and to grant rights and privileges with respect thereto; and v

WHEREAS, the Airports provide their employees, airport-tenants' employees, air carrier passengers and members of the public with many amenities, such as shopping, dining, news and other service needs; and

WHEREAS, the City and the following four (4) entities (collectively, the "Hudson Entities") entered into agreements (collectively, the "Hudson Entities Agreements"), as described below; and

WHEREAS, the City entered into a Retail Concession Lease and License Agreement with Hudson News O'Hare JV, dated October 25, 2007, for the sale of news, gift items and other sundries; and

WHEREAS, the City entered into a Retail Concession Lease and License Agreement with Barbara's Bookstore O'Hare JV, dated October 25, 2007, for the sale of books, educational games and other merchandise typically sold at Barbara's Bookstores; and

WHEREAS, the City entered into a Retail Concession Lease and License Agreement with the Nuance Group (Chicago), LLC, for the sale of duty free and duty paid merchandise; and

WHEREAS, the City of Chicago entered into a Concession and Redevelopment and Management Lease Agreement dated May 12, 2017, with Midway Partnership, LLC for the redevelopment and management ofthe concessions program at Midway; and

WHEREAS, the following five (5) entities ("collectively the "Hudson Subtenant Entities") are operating at O'Hare and/or Midway as subtenants, pursuant to certain five (5) agreements (collectively, the "Hudson Subtenant Entities Agreements") as described below; and
WHEREAS, Dufry O'Hare T5 JV is operating at O'Hare pursuant to a Concession and Sublease Agreement with Westfield Concession Management, LLC, dated October 25, 2012; and

WHEREAS, Hudson O'Hare T5 JV is operating at O'Hare pursuant to a Concession Sublease and License Agreement with Westfield Concession Management, LLC, dated November 16, 2012; and

WHEREAS, WDFG North America, LLC is operating at O'Hare pursuant to a Sublease with Host International, Inc., dated September 7, 2013; and
WHEREAS, WDFG North America, LLC is operating at Midway pursuant to a Sublease with Host International, Inc., dated September 7, 2013; and
WHEREAS, HG Midway is operating at Midway pursuant to a Concession Sublease and License Agreement with Midway Partnership, LLC, dated May 12, 2017; and

WHEREAS, the corporate ownership structure of the Hudson Entities and the Hudson Subtenant Entities is described on Exhibit A attached to this ordinance; and

WHEREAS, one of the companies in the corporate ownership structure of both the Hudson Entities and the Hudson Subtenant Entities, Dufry International AG, is seeking to transfer its 100% ownership interest in Dufry Americas Holding, Inc. to a newly created company, Hudson Ltd., (the Transfer") which Transfer requires City Council Approval pursuant to the Hudson Entities Agreements and the Hudson Subtenant Agreements; and
WHEREAS, Dufry International AG may subsequently sell a minority ownership interest in Hudson Ltd, in a public offering and list such minority interest on a stock exchange for trading, which ownership transfer per the Hudson Entities Agreements and the Hudson Subtenant Entities Agreements requires CDA Commissioner approval; and

WHEREAS, there will be no change to any of the Hudson Entities or the Hudson Subtenant Entities as a result of the Transfer, since the only change will be to the ownership of Dufry Americas Holding, Inc., a remote, indirect owner of all of the Hudson Entities and the Hudson Subtenant Entities; and

WHEREAS, Hudson Entities are requesting that the City consent to the Transfer and to the subsequent partial ownership transfer to the public as described in the Consent Agreement attached hereto as Exhibit B ("the "Consent Agreement"); and

WHEREAS, the City desires to enter into the Consent Agreement with the Hudson Entities substantially in the form of the Consent Agreement attached as Exhibit B; now, therefore,

Be It Ordained by the City Council ofthe City of Chicago:
Section 1. The above recitals are incorporated by this reference as if fully set forth herein as the findings of the City Council.

Section 2. The Commissioner of CDA is hereby authorized to execute a Consent Agreement with the Hudson Entities in substantially the form attached hereto as Exhibit B, and such other documents as may be necessary or desirable to implement the objectives of this ordinance.
Section 3. To the extent that any ordinance, resolution, rule, order or provision of the City, or part thereof, is in conflict with the provisions of this ordinance, the provisions of this ordinance shall control. If any section, paragraph, clause or provision of this ordinance shall be|1010|
held invalid, the invalidity of such section, paragraph, clause or provision shall not affect any of the other provisions of this ordinance.
Section 4. This ordinance shall be in full force and effect from the date of its passage and approval.

We respectfully, request: (1) theconsent of the City Council of the City of Chicago (the "City!Council") to me transfer of ownership of a holder of an indirect ownership interest, in the Tenants which constitutes a change of ownership under the Agreements, and (2) the consent of the. Commissioner-of the Chicago Department of Aviation (the "Commissioner'-') to a subsequent transfer, each'as described further below.

Tbe:vari.QUS Tenants are either joint, ventures, partnerships or limited liability companies' ¦ that comprise a-number of entities, including in each case a majority ownership interest held by an entity that is ah.indv]bqt,:^yholly owned subsidiary of Dufry AQ .(collectively; the. "Dufrv."Tenant Subsidiaries").

Dufry AG (v'Pufry"), a. SIX'Swiss Exchange-listed company., is the leading travel retailer in the 'world, with its duty-free and.duty-paid retail-stores distributed-mainly in airports, lu*ui^ cruises lines, sea ports andQtheT tourist destinations. Dufry, a company with 150 years of history, operates oyer 2,200. Sto.res at 370. locations in 64 couhtri'es with a turnover of approximately GHF 7.6 billion in 2016.

As part of an internal corporate restructuring, Dufry seeks to transfer, indirectly, its 100% ownership interest in the. Dufry Tenant Subsidiaries by transferring ownership of Dufry Americas-Holding, Inc! from DufryInternational AG to Hudson Ltd a newly formed Bermuda corporation. Eachof Dufry Americas Holding, Inc., Dufry International AG. and Hudson Ltd. are wholly owned, indirect subsidiaries of Dufry. A diagram-summarizing the corporate structure before and after this transfer is set out on Schedule B hereto. As indicated On Schedule B, Dufry Americas Holding. Jnc, the existing company

directly involved in and affected by the proposed transfers, is.a remote, indirect owner of Hudson Group (HG) Retail, LLC and Dairy North America, LLC (each members of operating entities at OMlare or Midway airports) neither of which will be directly affected by or involved in the transfers.

After this internal restructuring, Dufry may seek to sell a minority ownership interest in Hudson Ltd. by way of an initial public offering ("IPO") registered pursuant to the U.S. $ecurities Act of 1933 and list such shares of Hudson Ltd. for trading on the New York Stock Exchange or "Nasdaq (the "Stock Exchange").

The internal corporate restructuring and any subsequent sale of a minority ownership interest of Hudson Ltd. in an IPO and listing of Hudson Ltd. shares for trading on a Stock Exchange will have no impact on.the quality ofthe services provided by, or on the financial resources available to. the-Dufry Tenant Subsidiaries.

We believe that the internal corporate restructuring described in the preceding paragraph may be viewed as a Change in Ownership of Tenant requiring consent of the" .-City. The certifications, disclosures, and acknowledgments contained in this EDS will become part of any contract or other agreement between the Applicant and the City in connection with the Matter, whether procurement, City assistance, or other City action, and arc material inducements to the City's execution of any contract or taking other action with respect to the Matter. The Disclosing Party understands that it must comply with all statutes, ordinances, and regulations on which this EDS is based.
The City's Governmental Ethics and Campaign Financing Ordinances, Chapters 2-156 and 2-164 of the Municipal Code, impose certain duties and obligations on persons or entities seeking City contracts, work, business, or transactions. The full text of these ordinances and a training program is available on line at www.cityofchicago.org/Ethics , and may also be obtained from the City's Board of Ethics, 740 N.

It is the City's policy to make this document available to the public on its Internet site and/or upon request. Some or all of the information provided on this EDS and any attachments to this EDS may be made available to the public on the Internet, in response to a Freedom of Information Act request, or otherwise. By completing and signing this EDS, the Disclosing Party waives and releases any possible rights or claims which it may have against the City in connection with the public release of information contained in this EDS and also authorizes the City to verify the accuracy of any information submitted in this EDS.

FAMILIAL RELATIONSHIPS WITH ELECTED CITY OFFICIALS AND DEPARTMENT HEADS


This Appendix is to be completed only by (a) the Applicant, and (b) any legal entity which has a direct ownership interest in the Applicant exceeding 7.5 percent. It is not to be completed by any legal entity which has only an indirect ownership interest in the Applicant.

Under Municipal Code Section 2-154-015, the Disclosing Party must disclose whether such Disclosing Party or any "Applicable Party" or any Spouse or Domestic Partner thereof currently has a "familial relationship" with any elected city official or department head. A "familial relationship" exists if, as ofthe date this EDS is signed, the Disclosing Party or any "Applicable Party" or any Spouse or Domestic Partner thereof is related to the mayor, any alderman, the city clerk, the city treasurer or any city department head as spouse or domestic partner or as any ofthe following, whether by blood or adoption: parent, child, brother or sister, aunt or uncle, niece or nephew, grandparent, grandchild, father-in-law, mother-in-law, son-in-law, daughter-in-law, stepfather or stepmother, stepson or stepdaughter, stepbrother or stepsister or half-brother or half-sister.

"Applicable Party" means (1) all executive officers ofthe Disclosing Party listed in Section Il.B.l.a., if the Disclosing Party is a corporation; all partners of the Disclosing Party, if the Disclosing Party is a general partnership; all general partners and limited partners ofthe Disclosing Party, if the Disclosing Party is a limited . partnership; all managers, managing members and members of the Disclosing Parly, if the Disclosing Parly is a limited liability company; (2) all principal officers of the Disclosing Party; and (3) any person having more than a 7.5 percent ownership interest in the Disclosing Party. "Principal officers" means the president, chief operating officer, executive director, chief financial officer, treasurer or secretary of a legal entity or any person exercising similar authority.
