ORDINANCE

WHEREAS, the City of Chicago (the "City") is a home rule unit of government by virtue of the provisions of Article VII, Section 6(e) of the Constitution of the State of Illinois of 1970, and, as such, may exercise any power and perform any function pertaining to its government and affairs; and

WHEREAS, the Chicago Plan Commission ("CPC") has previously approved that certain planning document entitled the '"Green Healthy Neighborhoods Plan" on March 20, 2014; and

WHEREAS, the Green Healthy Neighborhoods Plan provides a set of strategies for housing, retail, open space and productive landscapes within the Englewood, West Englewood, Greater Grand Crossing, Woodlawn, and Washington Park community areas (the "Study Area"); and

WHEREAS, the City Council of the City (the "City Council"), by ordinance adopted on March 29, 2006 and published in the Journal of Proceedings of the City Council (the "Journal") for such date at pages 72958 through 73124, has approved a redevelopment plan and project (the "Plan") for the 63rd/Ashland Redevelopment Project Area (the "Redevelopment Area") pursuant to the Illinois Tax Increment Allocation Redevelopment Act, as amended (65 ILCS 5/11-74.4-1 et seg, (the "Act")), has designated the Redevelopment Area as a "redevelopment project area" under the Act, and has adopted tax increment financing for the Redevelopment Area; and

WHEREAS, the City owns the real property commonly known as 1844 West 59th Street, Chicago, Illinois, and identified on Exhibit A attached hereto and made a part hereof (the ''Property"); and

WHEREAS, the Property is located in the Redevelopment Area and in the Study Area;
and

WHEREAS, the Property has an appraised fair market value of Thirty Six Thousand Dollars ($36,000) as of July 30, 2017; and

WHEREAS, Growing Home, Inc., an Illinois not-for-profit corporation ("Growing Home"), uses urban agriculture as a vehicle to train the hard to employ, and sells organic food and value-added products in an urban setting; and

WHEREAS, Growing Home operates an urban farm center, including growing facilities, distribution operations and employment training functions, adjacent to the Property at 5831-45 South Wolcott Avenue. 5830-36 South Honore Street, and 5814 South Wood Street; and

WHEREAS, Growing Home wishes to expand its urban farm operations to the Property; and

WHEREAS, the City has enrolled the Property in the Illinois Environmental Protection Agency's Site Remediation Program for the purposes of receiving a Comprehensive Residential Final No Further Remediation Letter, and prior to the conveyance of the Property, the City plans to pave the Property to act as an environmental barrier, which will allow Growing Home to install raised garden beds and hoop houses on the Property; and

WHEREAS, by Resolution No. 17-063-21, adopted on September 21, 2017, the CPC recommended the sale of the Property to Growing Home; and

WHEREAS, by Resolution No. 17-CDC-22, adopted on September 12, 2017, the Community Development Commission authorized the City's Department of Planning and Development (together with any successor department thereto, "DPD") to advertise its intent to negotiate a sale of the Property to Growing Home; and

WHEREAS, public notices advertising the proposed sale of the Property appeared in the Sun-Times on September 22, October 6 and October 20, 2017; and

WHEREAS, no alternative proposals were received by the City prior to the deadline set forth in such advertisements; and

WHEREAS, the City desires to convey the Property for One Dollar ($1.00) to Growing Home for use in its urban agriculture program; and

WHEREAS, the City Council finds that such conveyance is consistent with the goals and objectives of the Green Healthy Neighborhoods Plan, as the farm expansion site is a viable component of the Green Healthy Neighborhoods Plan's goals to improve the environmental quality of the neighborhood, to promote healthy food selection and eating, and to create employment opportunities for residents; and

WHEREAS, the City Council finds that the conveyance of the Property is consistent with the Plan for the Redevelopment Area; and

WHEREAS, the City Council finds that the conveyance of the Property to Growing Home for use in its urban agriculture program is in the best interests of the City; now therefore,

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CHICAGO:

SECTION 1. The foregoing recitals, findings and statements of fact are hereby adopted as the findings of the City Council.

SECTION 2. The City hereby approves the conveyance of the Property to Growing Home for the sum of One Dollar ($1.00).

SECTION 3. The Mayor or his proxy is authorized to execute, and the City Clerk is authorized to attest, one or more quitclaim deeds conveying the Property to Growing Home. The

quitclaim deed shall include the following covenants running with the land, or language substantially similar and acceptable to the City's Corporation Counsel:

First: Growing Home shall solely use the Property as an urban agricultural and job transition center and for not-for-profit corporation ancillary and accessory uses, unless an alternative use is approved in writing at the sole and absolute discretion of the Commissioner of DPD ("Commissioner"). This covenant shall terminate ten (10) years from the conveyance of the Property to Growing Home; provided however, that the Commissioner, in the Commissioner's sole and absolute discretion, shall have the authority to release this covenant upon the request of Growing Home. If Growing Home allows the Property to be used for any purpose other than a purpose approved by the Commissioner of DPD prior to the expiration of the covenant term or without first obtaining a release of this covenant, the City may re-enter and take possession of the Property, terminate the estate conveyed to Growing Home, and revest title to the Property in the City.

Second: The City has enrolled the Property in the Illinois Environmental Protection Agency's ("IEPA") Site Remediation Program ("SRP") and obtained a comprehensive residential final No Further Remediation Letter ("Final NFR Letter") for the Property. Growing Home must comply with all land use restrictions, institutional controls and other terms and conditions contained in the Final NFR Letter for the Property. If the usage of the Property changes, Growing Home must re-enroll the Property in the SRP and receive an appropriate Final NFR Letter for the proposed usage. If Growing Home fails to comply with the requirements in this Second Covenant, the City may re-enter and take possession of the Property, terminate the estate conveyed to Growing Home, and revest title 4 to the Property in the City.

Third: Growing Home shall allow the Property to be used only for a use consistent with the City's 63rd/Ashland Redevelopment Plan until such plan expires. Growing Home acknowledges that if Growing Home (or its successors or assigns) develops the Property with a "residential housing project," as that term is defined in Section 2-45-115 of the Municipal Code of Chicago (the "Affordable Requirements Ordinance"), Growing Home (or its successors or assigns) shall be obligated to comply with the Affordable Requirements Ordinance.

Fourth: Growing Home acknowledges and agrees that the Property is being conveyed, and Growing Home accepts the Property, in its "as is," "where is" and "with all faults" condition without any covenant, representation or warranty, express or implied, of any kind, as to the structural, physical or environmental condition of the Property or the suitability of the Property for any purpose whatsoever. Growing Home, on behalf of herself/himself/themselves/itself (as applicable) and hers/his/their/its (as applicable) successors and assigns, shall release, relinquish and forever discharge the City and its officers, employees, agencies, departments and officials, from and against any and all claims, causes of

action, demands, legal or administrative proceedings, losses, damages, liabilities, judgments, amounts paid in settlement, interest, fines, penalties, costs and expenses (including, without limitation, reasonable attorney's fees and expenses and court costs) based upon, arising out of or in any way connected with, directly or indirectly, the structural, physical or environmental condition of the Property. The foregoing covenant of release is part of the consideration for the Property and shall run with the land and bind Growing Home and Growing Home's successors and assigns.

SECTION 4. The Commissioner or a designee of the Commissioner is each hereby authorized to negotiate, execute and deliver such documents as may be necessary or appropriate to implement the provisions of this ordinance, subject to the approval of the Corporation Counsel. Such documents may contain terms and provisions that the Commissioner or the Commissioner's designee deem appropriate.

SECTION 5. If any provision of this ordinance shall be held to be invalid or unenforceable for any reason, the invalidity or unenforceability of such provision shall not affect any of the other provisions of this ordinance.

SECTION 6. All ordinances, resolutions, motions or orders in conflict with this ordinance are hereby repealed to the extent of such conflict.

SECTION 7. This ordinance shall be in full force and effect immediately upon its passage and approval.

The certifications, disclosures, and acknowledgments contained in this EDS will become part of any contract or other agreement between the Applicant and the City in connection with the Matter, whether procurement, City assistance, or other City action, and are material inducements to the City's execution of any contract or taking other action with respect to the Matter. The Disclosing Party understands that it must comply with all statutes, ordinances, and regulations on which this EDS is based.
The City's Governmental Ethics and Campaign Financing Ordinances, Chapters 2-156 and 2-164 of the Municipal Code, impose certain duties and obligations on persons or entities seeking City contracts, work, business, or transactions. The full text of these ordinances and a training program is available on line at www.cityofchicaao.org/Ethics , and may also be obtained from the City's Board of Ethics, 740 N.

If the City determines that any information provided in this EDS is false, incomplete or inaccurate, any contract or other agreement in connection with which it is submitted may be rescinded or be void or voidable, and the City may pursue any remedies under the contract or agreement (if not rescinded or void), at law, or in equity, including terminating the Disclosing Party's participation in the Matter and/or declining to allow the Disclosing Party to participate in other transactions with the City. Remedies at law for a false statement of material fact may include incarceration and an award to the City of treble damages. '
It is the City's policy to make this document available to the public on its Internet site and/or upon request. Some or all of the information provided on this EDS and any attachments to this EDS may be made available to the public on the Internet, in response to a Freedom of Information Act request, or otherwise. By completing and signing this EDS, the Disclosing Party waives and releases any possible rights or claims which it may have against the City in connection with the public release of information contained in this EDS and also authorizes the City to verify the accuracy of any information submitted in this EDS.

E. The information provided in this EDS must be kept current. In the event of changes, the Disclosing
Party must supplement this EDS up to the time the City takes action on the Matter. If the Matter is a
contract being handled by the City's Department of Procurement Services, the Disclosing Party must
update this EDS as the contract requires. NOTE: With respect to Matters subject to Article I of
Chapter 1-23 of the Municipal Code (imposing PERMANENT INELIGIBILITY for certain specified
offenses), the information provided herein regarding eligibility must be kept current for a longer period,
as required by Chapter 1-23 and Section 2-154-020 of the Municipal Code.

F. I. The Disclosing Party is not delinquent in the payment of any tax administered by the Illinois Department of Revenue, nor are the Disclosing Party or its Affiliated Entities delinquent in paying any fine, fee, tax or other charge owed to the City. This includes, but is not limited to, all water charges, sewer charges, license fees, parking tickets, property taxes or sales taxes.

F.2 If the Disclosing Party is the Applicant, the Disclosing Party and its Affiliated Entities will not use, nor permit their subcontractors to use, any facility listed by the U.S. E.P.A. on the federal Excluded Parties List System ("EPLS") maintained by the U. S. General Services Administration.

F.3 If the Disclosing Party is the Applicant, the Disclosing Party will obtain from any contractors/subcontractors hired or to be hired in connection with the Matter certifications equal in form and substance to those in F.l. and F.2. above and will not, without the prior written consent of the City, use any such contractor/subcontractor that does not provide such certifications or that the Disclosing Party has reason to believe has not provided or cannot provide truthful certifications.

This Appendix is to be completed only by (a) the Applicant, and (b) any legal entity which has a direct ownership interest in the Applicant exceeding 7.5 percent. It is not to be completed by any legal entity which has only an indirect ownership interest in the Applicant.
