Re: New Chicago O'Hare International Airport Airline Use and Lease Agreement Dear Ms. Valencia,

As you know, on March 28, 2018, the Chicago City Council (the "City Council") passed an ordinance approving a new form of Chicago O'Hare International Airport Airline Use and Lease Agreement (the "New Airline Use and Lease Agreement"), to be entered into with commercial air carriers operating at O'Hare International Airport (the "Airport"), from time to time during the term of the New Airline Use and Lease Agreement (the "Ordinance"). Pursuant to Section XI of the Ordinance, Sections VIII, IX and X of the Ordinance shall become effective on such date, on or after May 12, 2018, that the City has received fully executed New Airline Use and Lease Agreements with air carriers who, together with their Affiliates, as defined in the New Airline Use and Lease Agreement, collectively represented more than fifty percent (50%) of passengers enplaned in 2017 at the Airport. The Ordinance further requires that the receipt of the requisite number of fully executed New Airline Use and Lease Agreements shall be memorialized by a dated certification that the Commissioner of the Chicago Department of Aviation files with the City Clerk of Chicago.

On March 28, 2018, after approval of the Ordinance by the City Council, Mayor Rahm Emanuel executed New Airline Use and Lease Agreements with air carriers who collectively represented more than fifty percent (50%) of passengers enplaned in 2017 at the Airport. Therefore, I hereby certify that the Chicago Department of Aviation, on behalf of the City of Chicago, has received the requisite number of fully executed New Airline Use and Lease Agreements pursuant to Section XI of the Ordinance.
