AGREEMENT FOR REMOVAL OF TRACKAGE
This agreement ("Agreement") is entered into by and between Foundry Buzz LLC, Foundry Glassberg LLC, Foundry Meyer, LLC, Jacquin Foundry LLC, Urban Financial Foundry LLC, and Foundry Wineman LLC. (collectively "Lakewest"), each an Illinois limited liability company, and Chicago Terminal Railroad Company ("Chicago Terminal"), an Illinois corporation and is dated effective Octoberl8, 2013.

Whereas:
Lakewest is the owner of the property ("Property") commonly known as 2070-2112 N. Clybourn Avenue in Cook County, Chicago, Illinois . The Property is described on Exhibit A attached hereto and depicted on the survey attached hereto as Exhibit B (the "Survey"). The Property is operated as the Foundry Shopping Center.
The Property is subject to an easement reserved in that certain Quit Claim Deed from CMC Real Estate Corporation to Sheffield Foundry Company, dated September 30, 1987, and recorded December 15,1987 with the Cook County Recorder of Deeds as Document No. 87660309 ("Easement") for existing railroad tracks ("Rails") within an area of the Property (Easement Area"). The Rails end at N. Clybourn Avenue. The Easement is shown on the Survey.
The Chicago Terminal has a common carrier obligation to provide rail service on the Easement, if requested. Chicago Terminal is not required to provide rail service north ofthe Property.
There is no demand for rail service to, or through, the Property, and none is foreseen.
Lakewest wishes to remove the Rails from the Easement Area and repave the Easement Area in order to improve the safety and efficiency of the Property.
Chicago Terminal is able to provide service to its existing customers without the Rails, and wishes to recover the Rails for reuse.
Chicago Terminal is willing to permit the removal of the Rails and the paving over of the Easement Area on the terms and conditions of this agreement.
Therefore, in consideration ofthe payment of Ten Dollars ($10.00) and the mutual promises herein, it is agreed that:
1. Lakewest will pay Chicago Terminal Twelve Thousand Five Hundred Dollars ($12,500.00) on execution of this agreement.

2.
Chicago Terminal agrees that Lakewest may remove the Rails and repave the Easement Area. Chicago Terminal will not use the Easement unless required to do so in connection with providing common carrier rail service.
Lakewest will remove the Rails from the Easement Area and will place them on Chicago Terminal right-of way adjoining the Property.
Lakewest releases any claim it might have to ownership of the Rails.
Lakewest agrees that it will not request rail service to the Property.
Chicago Terminal agrees that, if it is required to use the Easement to provide common carrier rail service in the future, Chicago Terminal will pay Lakewest Twelve Thousand Five Hundred Dollars ($12,500) and that any restoration ofthe rail line in the Easement will be at Chicago Terminal's sole cost.

WHEREAS, the parties desire to provide for the orderly ownership, management, refinancing and disposition ofthe Property, while retaining their rights and status of tenants in common; and
NOW, THEREFORE, the parties hereto agree as follows:

All cash flow from the Property, after payment and/or reserve for mortgage payments, operating expenses, management fees, real estate taxes, repairs and maintenance, structural reserves, and less such other reserves which the parties shall mutually agree are appropriate, shall be promptly distributed to the parties in accordance with their percentage ownership at such times as the parties may mutually agree, but no less often than every ninety (90) days. All reserves and other amounts not yet distributed shall be held in the Property Account (as hereafter defined) for the benefit and ownership of the Parties, in accordance with their percentage ownership. If a default, acceleration or maturity has occurred under any loan and provision has not been made for the replacement, refunding or refinancing thereof, then, in any such event, all cash flow from the Property that would otherwise be available for distribution shall be held in reserve unless and until the parties otherwise mutually agree.
SALE AND REFINANCING PROCEEDS. All proceeds of sale and/or refinancing of the Property, after deduction or reserve for all expenses and liabilities attributable thereto, shall be the property of each of the parties, in accordance with their respective percentage ownership, and shall be promptly distributed to the parties in accordance with their percentage ownership.
ADDITIONAL FUNDS. Each party shall be required to contribute funds for the operation, maintenance, ownership, improvement or other necessity in connection with the Property, as determined by a unanimous vote of the parties. If necessary to avoid or satisfy any personal liability of any parties or their principals under any loan documents or other agreements with respect to the Property as a whole, as opposed to a parcel owned by any party, each of the parties shall, upon demand of any party, deposit into the Property Account their respective share, determined in accordance with the percentage ownership of the parties, of such amount as shall reasonably be required to satisfy or avoid such personal liability; provided, however, in the event a party fails to deposit its full required share, and such shortfall is advanced by another party, then such advance shall be deemed a loan to the underfunded party payable in thirty days or on demand, whichever is earlier, with interest thereon at the prime or reference rate as announced from time to time by LaSalle National Bank, or its successor, plus five percent (5%) per annum and any distribution due hereunder to such underfunded party shall first be applied to repay said loan.
TENANTS IN COMMON. The parties shall own their respective interests as tenants in common and nothing herein shall be deemed to constitute a partnership, joint venture or any other relationship between the parries other than as tenants in common. Each party acknowledges that its acquisition and ownership of its interest in the Property was made solely for investment purposes and not as an active trade or business.

Except as otherwise expressly provided in Section 16, no party waives its right of partition under Illinois law, provided that any exercise of the right of partition shall be subject to any loan documents and leases. All costs and expenses of such partition that are assessed by the court or may become a lien on the Property, including without limitation all fees and costs arising under the loan documents, subdivision expenses, and court costs shall be divided equally between the parties unless one of the parties is found to be at fault, in which event such party shall bear all such costs and expenses. Notwithstanding the foregoing, in the event a default exists hereunder, the. defaulting party shall not be entitled to exercise or seek partition unless and until such default has been cured.
Each party shall maintain its own tax records, file its own returns, and pay all income taxes due and owing with respect to its undivided interest in the Property. No party shall file a partnership tax return in which it lists another party as its partner. All expenses and income with respect to the Property shall be allocated to each party in accordance with their percentage ownership. Each party may make such elections as it desires under state and federal income tax codes with respect to depreciation, recognition of expenses and income and other matters respecting the Property, provided, no party shall be entitled to an allocation of expenses or income in an amount less than or greater than its respective percentage ownership.
Each party shall pay all income taxes due and owing with respect to its undivided interest and keep its interest free and clear of all liens and encumbrances except those approved by all parties in writing.
Except as otherwise expressly permitted hereunder, no party shall have the power or authority to bind another party or the Property to any agreements, liens or other transactions or actions, without in each case obtaining the prior written consent of the other parties. No party shall hold itself out to third parties as having the authority to bind the other parties or the Property.

MANAGEMENT. The parties hereby appoint Jerome H. Meyer & Co. to act as property manager ("Management Agent") to collect rent and pay expenses, enforce and monitor tenant performance under the leases, give and receive notices, consents, waivers, and perform all ordinary operations, repairs and maintenance with respect to the Property, and to deal with routine matters concerning any tenant or lender with an interest in the Property. The Management Agent shall have authority to enter into employment agreements, service contracts, and any other agreements necessary for the day to day management and operation of the property in accordance with approvals given by the parties from time to time. Management Agent shall have no authority execute any leases, loan documents or sale documents without a unanimous vote of the parties. Management Agent shall receive a property management fee equal to three percent (3%) of the gross revenue ofthe Property from time to time, plus reimbursement of expenses advanced on behalf of the parties in connection with Management Agent's duties hereunder. Management Agent is authorized to reimburse itself directly from the Property Account. Management Agent shall serve in the foregoing capacities for a term of one year, commencing on the date of this Agreement, which term shall automatically renew for additional one year terms if not terminated by unanimous vote of the parties on written notice given at least thirty days prior to an anniversary hereof, provided that Management Agent may resign at any time with thirty days written notice to the parties.
DECISIONS. All decisions concerning the Property, including but not limited to decisions with respect to leasing, sale or other disposition of the Property, financing, creation of liens or security interests in the Property or the termination or replacement of the Management Agent, shall be made by Lakewest, Inc., as manager of Buzz, Meyer, Glassberg, Jacqlin, Urban Financial and Wineman
7. SALE RESTRICTIONS. No transfer of an interest in the Property shall be permitted unless it is
(i) approved in writing by Lakewest, Inc., as manager of Buzz, Meyer, Glassberg, Jacqlin, Urban Financial
and Wineman, and (ii) permitted under the terms of any mortgage documents now or hereafter affecting the
Property ("Loan Documents")
8. MEMORANDUM. Any party may, subject to the rights and approval, if necessary, of any

Lender, require that the parties execute and record a memorandum of this Agreement in the County wherein the Property is located.

9. CROSS INDEMNITY. Each party ("first party") hereby agrees to indemnify, defend and hold
harmless the other party ("second party") and the principals of the second party from and against all claims,
losses, liabilities, actions, causes, costs and expenses (including reasonable attorneys fees) caused by or
arising from (i) any default hereunder, any unauthorized or unpermitted action, fraud, willful misconduct,
misapplication of funds, or gross negligence by the first party with respect to the Property, any lease, loan
documents, any tenant or otherwise, and (ii) any failure ofthe first party to perform or satisfy its obligations
under any loan document or other agreement affecting the Property for which all parties (or their respective
principals) have personal liability, but (if not the subject of (i) above) only to the extent such liability exceeds
the second party's percentage ownership of such liability. The provisions of this Paragraph shall survive any
termination ofthis Agreement.
PROPERTY ACCOUNT. The Management Agent may establish and maintain one or more segregated checking accounts for all financial activities with respect to the Property, which accounts) shall be the property of the parties in accordance with their percentage ownership ("Property Account(s)").
TERMINATION. This Agreement shall terminate upon the earlier of (i) unanimous written agreement ofthe parties, (ii) sale or other transfer of the entire interests of all parties in the Property to a third party, (iii) acquisition of the entire interest in the Property by one party, or (iv) judicial partition of the Property as permitted hereunder.
NOTICES. No authorization, agreement, consent or other action required or permitted by a party hereunder shall be binding or effective unless given in writing. Any and all notices and demands given under this agreement shall be given by certified mail, return receipt requested, postage prepaid, addressed to the parties at their current addresses or at such other addresses as any party may designate on written notice.
BENEFIT. This Agreement shall run with the land and shall be binding upon and shall inure to the benefit of each of the parties, and their respective heirs, executors, administrators, legal representatives, successors, and assigns.
CHOICE OF LAW. This Agreement shall be governed by the laws of the State of Illinois. Any proceeding brought to enforce the terms of this Agreement shall be brought in State or Federal Court located in Cook County, Illinois.
ATTORNEYS FEES. In the event of litigation to enforce the terms of this Agreement, the reasonable attorneys fees and costs ofthe prevailing party shall be paid by the non-prevailing party.
SPECIAL PROVISIONS. In connection with Loan from Allstate Life Insurance Company, its successors and assigns, the parties agree as follows:

Notwithstanding anything to the contrary contained in this Agreement, each party shall be prohibited from commencing any proceeding for the partition or other division of the Property until the Loan has been repaid and each party waives its right of partition under Illinois law during such time as Allstate Life Insurance Company, its successors and assigns is the holder of a security interest in the Property.
Each party hereby agrees that any and all rights, privileges and remedies of each party (including any right of first refusal arising under Section 363(i) of Chapter 11 of the United States Bankruptcy Code or otherwise, purchase options, call option or other similar rights) are subject and subordinate to the mortgage which secures the Loan and encumbers the Property.

Other than the terms of this Amendment, the Second Amended and Restated Tenancy in Common Agreement shall not be amended, modified or terminated without the prior written consent of Lender.
In the event of the bankruptcy of any party, one or more ofthe remaining parties shall have the right to purchase the bankrupt party's tenant-in-common interest in the Property at its fair market value.
Lakewest, Inc., an Illinois corporation is the manager for all of the parties with respect to the Property and is hereby authorized to be the sole party for all notice purposes from Lender, shall have decision making authority, and Lender shall have the right to rely on such manager's actions.
17. AMENDMENT/MODIFICATION. This Agreement may not be amended or modified without the consent of Allstate Life Insurance Company, its successors and assigns during any time that it is the holder of a security interest in the Property.

The certifications, disclosures, and acknowledgments contained in this EDS will become part of any contract or other agreement between the Applicant and the City in connection with the Matter, whether procurement, City assistance, or other City action, and are material inducements to the City's execution of any contract or taking other action with respect to the Matter. The Disclosing Party understands that it must comply with all statutes, ordinances, and regulations on which this EDS is based.
The City's Governmental Ethics Ordinance, MCC Chapter 2-156, imposes certain duties and obligations on persons or entities seeking City contracts, work, business, or transactions. The certifications, disclosures, and acknowledgments contained in this EDS will become part of any contract or other agreement between the Applicant and the City in connection with the Matter, whether procurement, City assistance, or other City action, and are material inducements to the City's execution of any contract or taking other action with respect to the Matter. The certifications, disclosures, and acknowledgments contained in this EDS will become part of any contract or other agreement between the Applicant and the City in connection with the Matter, whether procurement, City assistance, or other City action, and are material inducements to the City's execution of any contract or taking other action with respect to the Matter. The Disclosing Party understands that it must comply with all statutes, ordinances, and regulations on which this EDS is based.
The City's Governmental Ethics Ordinance, MCC Chapter 2-156, imposes certain duties and obligations on persons or entities seeking City contracts, work, business, or transactions. The full text of this ordinance and a training program is available on line at www.citvofchicago.org/Ethics , and may also be obtained from the City's Board of Ethics, 740 N. Sedgwick St., Suite 500, Chicago, IL 60610, (312) 744-9660. The Disclosing Party must comply fully with this ordinance.
If the City determines that any information provided in this EDS is false, incomplete or inaccurate, any contract or other agreement in connection with which it is submitted may be rescinded or be void or voidable, and the City may pursue any remedies under the contract or agreement (if not rescinded or void), at law, or in equity, including terminating the Disclosing Party's participation in the Matter and/or declining to allow the Disclosing Party to participate in other City transactions. Remedies at law for a false statement of material fact may include incarceration and an award to the City of treble damages.
It is the City's policy to make this document available to the public on its Internet site and/or upon request. Some or all ofthe information provided in, and appended to, this EDS may be made publicly available on the Internet, in response to a Freedom of Information Act request, or otherwise. By completing and signing this EDS, the Disclosing Party waives and releases any possible rights or claims which it may have against the City in connection with the public release of information contained in this EDS and also authorizes the City to verify the accuracy of any information submitted in this EDS.
The information provided in this EDS must be kept current. In the event of changes, the Disclosing Party must supplement this EDS up to the time the City takes action on the Matter. If the Matter is a contract being handled by the City's Department of Procurement Services, the Disclosing Party must update this EDS as the contract requires.
