AN ORDINANCE OF THE CITY OF CHICAGO, ILLINOIS AUTHORIZING THE CONVEYANCE OF CITY LAND TO HERBAN PRODUCE NFP

WHEREAS, the City of Chicago (the "City") is a home rule unit of government by virtue of the provisions of Article VII, Section 6(a) of the Constitution of the State of Illinois of 1970, and, as such, may exercise any power and perform any function pertaining to its government and affairs; and

WHEREAS, the City has established the Community Development Commission ("CDC") to, among other things, designate redevelopment areas, approve redevelopment plans, and recommend the sale or lease of parcels located in redevelopment areas, subject to the approval of the City Council of the City ("City Council"); and

WHEREAS, the City Council, by ordinance adopted on May 17, 2000, and published in the Journal of Proceedings of the City Council (the "Journal") for such date at pages 30775 through 30953, has approved a redevelopment plan and project (the "Plan") for the Midwest Redevelopment Project Area (the "Area") pursuant to the Illinois Tax Increment Allocation Redevelopment Act, as amended (65 ILCS 5/11-74.4-1 et seg., (the "Act")), has designated the Area as a "redevelopment project area" under the Act, and has adopted tax increment financing for the Area; and

WHEREAS, the City owns the parcels of real property commonly known as 2840, 2852, 2910 and 2912 W. Van Buren Street, Chicago, Illinois, and identified on Exhibit A attached hereto and made a part hereof (the "Property"); and

WHEREAS, the Property is located in the Area;

WHEREAS, the Property has an appraised fair market value of Two Hundred Fifty Thousand and No/100 Dollars ($250,000) as of November 6, 2018; and

WHEREAS, Herban Produce NFP, an Illinois not-for-profit corporation ("Herban Produce"), uses urban agriculture as a vehicle to establish job readiness and job training programs to provide residents with the skills necessary to secure jobs, and sells organic food and value-added products in an urban setting; and

WHEREAS, Herban Produce operates an urban farm center, including growing facilities, distribution operations and employment training functions, adjacent to the Property.

WHEREAS, Herban Produce wishes to expand its urban farm operations to the Property and has submitted a proposal to the City's Department of Planning and Development (the "Department") to purchase the Property for One Dollar ($1.00) per parcel, which is a write down of Two Hundred Thousand Forty-Nine Nine Hundred Ninety-Six and No/100 Dollars ($249,996); and

WHEREAS, by Resolution 19-CDC-ll adopted on March 12, 2019, the CDC authorized the Department to advertise its intent to convey the Property to Herban Produce and request alternative proposals for the sale and redevelopment of the Property; and

WHEREAS, pursuant to Resolution 19-011-21 adopted on March 21, 2019, the Chicago Plan Commission recommended the sale of the Property to Herban Produce; and

WHEREAS, public notices advertising the proposed sale of the Property and requesting alternative proposals appeared in the Chicago Sun-Times, a newspaper of general circulation, on March 16, March 30 and April 13, 2019; and

WHEREAS, no alternative proposals were received by the City prior to the deadline set forth in such advertisements; and

WHEREAS, the City Council finds that the conveyance of the Property is consistent with the Plan for the Area; and

WHEREAS, the City desires to convey the Property for One Dollar ($1.00) per parcel to Herban Produce for use in its urban agriculture program; and

WHEREAS, the City Council finds that the conveyance of the Property to Herban Produce for use in its urban agriculture program is in the best interests of the City; and

WHEREAS, Herban Produce has performed environmental testing on the Property; and

WHEREAS, based on the results of this environmental testing, environmental remediation for the Property is not required; nevertheless, as the Property will be used for urban farming, Herban Produce shall improve the Property with an engineered barrier that meets the requirements set forth in Title 35 of the Illinois Administrative Code Section 742.1105 (the "Engineered Barrier"); now, therefore,

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CHICAGO:

SECTION 1. The foregoing recitals, findings and statements of fact are hereby adopted as the findings of the City Council.

SECTION 2. The City hereby approves the conveyance of the Property to Herban Produce for the sum of One Dollar ($1.00) per parcel.

SECTION 3. The Mayor or his proxy is authorized to execute, and the City Clerk is authorized to attest, one or more quitclaim deeds conveying the Property to Herban Produce. The quitclaim deed(s) shall include the following covenants running with the land, or language substantially similar and acceptable to the Corporation Counsel:

First: Herban Produce shall use, or permit the use, of the Property as open space only, including, without limitation, as a community garden or as an urban farm. If

Herban Produce uses, or permits the use of, the Property for any other purpose, the City may re-enter and take possession of the Property, terminate the estate conveyed to Herban Produce, and revest title to the Property in the City. This covenant shall have no limitation as to time. The Commissioner of the Department, in his sole and absolute discretion, shall have the authority to release or modify this covenant upon the request of Herban Produce.

Second: Herban Produce shall improve the Property with the Engineered Barrier. Herban Produce acknowledges and agrees that the City shall not issue a Certificate of Completion ("Certificate"') or permit occupancy for the Property until the City has approved the Engineered Barrier, which approval shall not be unreasonably withheld. This covenant shall expire upon the issuance of the Certificate.

Third: The Property is located in the Midwest Redevelopment Area ("Area"), established pursuant to ordinances adopted by the City Council on May 17, 2000, and published in the Journal for such date at pages 30775 through 30953. Herban Produce is obligated to use the Property only for uses permitted under the redevelopment plant for the Area, until such redevelopment plan expires. Herban Produce's acceptance of this deed shall be deemed to be Herban Produce's agreement to comply with such use restrictions.

Fourth. Herban Produce shall not discriminate on the basis of race, color, sex, gender identity, age, religion, disability, national origin, ancestry, sexual orientation, marital status, parental status, military discharge status, or source of income in the sale, lease, rental, use or occupancy of the Property or any part thereof. This covenant shall have no limitation as to time.
Fifth: Herban Produce acknowledges and agrees that the Property is being conveyed, and Herban Produce accepts the Property, in its "as is," "where is" and "with all faults" condition without any covenant, representation or warranty, express or implied, of any kind, as to the structural, physical or environmental condition of the Property or the suitability of the Property for any purpose whatsoever. Herban Produce, on behalf of herself/himself/themselves/itself (as applicable) and hers/his/their/its (as applicable) successors and assigns, sshall release, relinquish and forever discharge the City and its officers, employees, agencies, departments and officials, from and against any and all claims, causes of action, demands, legal or administrative proceedings, losses, damages, liabilities, judgments, amounts paid in settlement, interest, fines, penalties, costs and expenses (including, without limitation, reasonable attorney's fees and expenses and court costs) based upon, arising out of or in any way connected with, directly or indirectly, the structural, physical or environmental condition of the Property. The foregoing covenant of release is part of the consideration for the Property and shall run with the land and bind Herban Produce and Herban Produce's successors and assigns.

SECTION 4. The Commissioner of the Department ("Commissioner") or a designee of the Commissioner is each hereby authorized to negotiate, execute and deliver such documents as may be necessary or appropriate to implement the provisions of this ordinance, subject to the approval of the Corporation Counsel. Such documents may contain terms and provisions that the Commissioner or the Commissioner's designee deem appropriate.

SECTION 5. If any provision of this ordinance shall be held to be invalid or unenforceable for any reason, the invalidity or unenforceability of such provision shall not affect any of the other provisions of this ordinance.

SECTION 6. All ordinances, resolutions, motions or orders in conflict with this ordinance are hereby repealed to the extent of such conflict.

SECTION 7. This ordinance shall be in full force and effect immediately upon its passage and approval.

Neither the Disclosing Party nor any Affiliated Entity is listed on a Sanctions List maintained by the United States Department of Commerce, State, or Treasury, or any successor federal agency.

The certifications, disclosures, and acknowledgments contained in this EDS will become part of any contract or other agreement between the Applicant and the City in connection with the Matter, whether procurement, City assistance, or other City action, and are material inducements to the City's execution of any contract or taking other action with respect to the Matter. The Disclosing Party understands that it must comply with all statutes, ordinances, and regulations on which this EDS is based.
The City's Governmental Ethics Ordinance, MCC Chapter 2-156, imposes certain duties and obligations on persons or entities seeking City contracts, work, business, or transactions. If the City determines that any information provided in this EDS is false, incomplete or inaccurate, any contract or other agreement in connection with which it is submitted may be rescinded or be void or voidable, and the City may pursue any remedies under the contract or agreement (if not rescinded or void), at law, or in equity, including terminating the Disclosing Party's participation in the Matter and/or declining to allow the Disclosing Party to participate in other City transactions.
