Ladies and Gentlemen:

At the request ofthe Commissioner of Housing, I transmit herewith an ordinance authorizing the sale of City-owned property.

Your favorable consideration of this ordinance will be appreciated.

ORDINANCE

WHEREAS, the City of Chicago ("City") is a home rule unit of government by virtue of the provisions of the Constitution of the State of Illinois of 1970, and, as such, may exercise any power and perform any function pertaining to its government and affairs; and

WHEREAS, the City is the owner of the property located at 4841 North Lipps Avenue, Chicago, Illinois 60630, which is legally described on Exhibit A attached hereto (the "Property"), which property is located in the Jefferson Park Business District Tax Increment Financing Redevelopment Project Area (the "Area") established pursuant to an ordinance adopted by the City Council of the City of Chicago on September 9, 1998 (as amended in part on March 10, 1999); and

WHEREAS, 4841 Lipps LLC, an Illinois limited liability company (the "Grantee"), with a principal business address of 6730 N. Ionia Avenue, Chicago, Illinois 60646 has offered to purchase the Property from the City for the value determined by a City-ordered Appraisal, which is $208,000 for the property fully-remediated of lead-based paint and asbestos: and

WHEREAS, the cost of remediating the lead-based paint and asbestos hazards in the property is essentially equal to the appraised fair market value of the Property of $208,000, rendering the property essentially worthless in its current condition; and

WHEREAS, public notice advertising the City's intent to enter into a negotiated sale of the Property with the Grantee and requesting alternative proposals appeared in the Chicago Sun-Times, a newspaper of general circulation, on July 24, 2020, July 31, 2020 and August 7, 2020; and

WHEREAS, public notice of the City's intent to enter into a negotiated sale established August 24, 2020 at 2:00 pm CST as the deadline for alternative proposals to be submitted; and

WHEREAS, two (2) alternative proposals were received by the deadline indicated in the aforesaid notice, as described in Exhibit C hereto; and

WHEREAS, the City's Department of Housing ("DOH") has compared the Grantee's proposal (also as described in Exhibit C) to the alternative proposals and for the reasons described in Exhibit C continues to recommend the sale of the Property to the Grantee; and

WHEREAS, pursuant to Resolution No. 20-013-21 adopted on September 17, 2020, by the Chicago Plan Commission (the "Commission"), the Commission approved the negotiated sale ofthe Property to the Grantee; now, therefore,

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CHICAGO:

SECTION 1. The City Council hereby approves the sale of the Property to the Grantee for the amount of $208,000.00, which amount shall be deposited into a joint order escrow account to fund the remediation of the Property. The Commissioner of DOH and the Commissioner of the Department of Assets, Information and Services or their respective designees are each authorized to enter into an escrow agreement establishing

such an account with such terms as the Commissioners deem necessary.

SECTION 2. The Mayor or her proxy is authorized to execute, and the City Clerk or Deputy City Clerk is authorized to attest, a quitclaim deed conveying the Property to the Grantee, or to a land trust of which the Grantee is the sole beneficiary, or to a business entity of which the Grantee is the sole controlling party. Without limiting the quitclaim nature of such deed, such conveyance shall be subject to: (i) standard exceptions in an ALTA insurance policy; (ii) general real estate taxes, and any special assessments or other taxes; (iii) easements, encroachments, covenants, restrictions and liens of record and not shown of record; (iv) such other title defects as may exist; and (v) any and all exceptions caused by acts of Grantee or its agents. Such deed shall include a covenant obligating the Grantee to use the Property only for use consistent with the land uses permitted under the redevelopment plan for the Area. Grantee's acceptance of the City's deed shall constitute Grantee's agreement to such covenant.

Such conveyance also shall be subject to the following conditions and covenants, in substantially the form set forth below, which are a part of the consideration for the Property and which are to be taken and construed as running with the land and binding on Grantee and its successors and assigns:

FIRST: Grantee must comply with the requirements of Exhibit B hereto.

SECOND: Grantee acknowledges and agrees that the Property is being conveyed, and Grantee accepts the Property, in its "as is," "where is" and "with all faults" condition without any covenant, representation or warranty, express or implied, of any kind, as to the structural, physical or environmental condition ofthe Property or the suitability of the Property for any purpose whatsoever. Grantee, on behalf of herself/himself/themselves/itself (as applicable) and hers/his/their/its (as applicable) successors and assigns, shall release, relinquish and forever discharge the City and its officers, employees, agencies, departments and officials, from and against any and all claims, causes of action, demands, legal or administrative proceedings, losses, damages, liabilities, judgments, amounts paid in settlement, interest, fines, penalties, costs and expenses (including, without limitation, reasonable attorney's fees and expenses and court costs) based upon, arising out of or in any way connected with, directly or indirectly, the structural, physical or environmental condition ofthe Property. The foregoing covenant of release is part of the consideration for the Property and shall run with the land and bind Grantee and Grantee successors and assigns.

THIRD: Grantee, at the request of the City of Chicago, covenants to execute and deliver to the City a reconveyance deed to the Property to evidence revesting of title upon Grantee's failure to meet any or all of the foregoing conditions and covenants. This right of reverter and re-entry shall terminate upon the issuance and recordation of a certificate of completion, release or similar instrument by the City of Chicago.

SECTION 3. If any provision of this ordinance shall be held to be invalid or unenforceable for any reason, the invalidity or unenforceability of such provision shall not affect any ofthe other provisions of this ordinance.

SECTION 4. All ordinances, resolutions, motions or orders inconsistent with this ordinance are hereby repealed to the extent of such conflict.

SECTION 5. This ordinance shall take effect upon its passage and approval.

EXHIBIT B Environmental Requirements

Section 1. "Hazardous Substances" means any toxic substance, hazardous substance, hazardous material, hazardous chemical or hazardous, toxic or dangerous waste defined or qualifying as such in (or for the purposes of) any Environmental Laws, or any pollutant, toxic vapor, or contaminant, and shall include, but not be limited to, petroleum (including crude oil or any fraction thereof), any radioactive material or by-product material, polychlorinated biphenyls and asbestos in any form or condition.
"Losses" means any and all debts, liens' (including, without limitation, lien removal and bonding costs), claims, actions, suits, demands, complaints, legal or administrative proceedings, losses, damages, obligations, liabilities, judgments, amounts paid in settlement, arbitration or mediation awards, interest, fines, penalties, costs, expenses and disbursements of any kind or nature whatsoever (including, without limitation, reasonable attorneys' fees and expenses, consultants' fees and expenses, costs of investigation, and court costs).

Section 2. The City makes no covenant, representation or warranty, express or implied, of any kind, as to the structural, physical or environmental condition ofthe property or the suitability ofthe property for any purpose whatsoever. The Grantee acknowledges that it has had adequate opportunity to inspect and evaluate the structural, physical and environmental conditions and risks of the property and accepts the risk that any inspection may not disclose all material matters affecting the property. The Grantee agrees to accept the property in its "AS IS," "WHERE IS" and "WITH ALL FAULTS" condition at closing, with all faults and defects, latent or otherwise, and the City has not made and does not make any covenant, representation or warranty, express or implied, of any kind, or give any indemnification of any kind to the Grantee, with respect to the structural, physical or environmental condition of the value of the property, its compliance with any statute, ordinance or regulation, or its habitability, suitability, merchantability or fitness for any purpose whatsoever. The Grantee acknowledges that it is relying solely upon its own inspection and other due diligence activities and not upon any information (including, without limitation, environmental studies or reports of any kind) provided by or on behalf ofthe City or its agents or employees with respect thereto. The Grantee agrees that it is its sole responsibility and obligation to perform at its expense any environmental remediation work and take such other action as is necessary to put the property in a condition which is suitable for its intended use.
Section 3. The Grantee, on behalf of itself and its officers, directors, employees, successors, assigns and anyone claiming by, through or under them (collectively, the "Grantee Parties"), hereby releases, relinquishes and forever discharges the City, its officers, agents and employees (collectively, the "Indemnified Parties"), from and against any and all Losses which the Grantee ever had, now have, or hereafter may have, whether grounded in tort or contract or otherwise, in any and all courts or other forums, of whatever kind or nature, whether known or unknown, foreseen or unforeseen, now existing or occurring after the date ofthe conveyance ofthe Property from the City to the Grantee (the "Closing Date"), based upon, arising out of or in any way connected with, directly or indirectly (i) any environmental contamination, pollution or hazards

associated with the Property or any improvements, facilities or operations located or formerly located thereon, including, without limitation, any release, emission, discharge, generation, transportation, treatment, storage or disposal of Hazardous Materials, or threatened release, emission or discharge of Hazardous Materials; (ii) the structural, physical or environmental condition of the Property, including, without limitation, the presence or suspected presence of Hazardous Materials in, on, under or about the Property or the migration of Hazardous Materials from or to other Property; (iii) any violation of, compliance with, enforcement of or liability under any Environmental Laws, including, without limitation, any governmental or regulatory body response costs, natural resource damages or Losses arising under CERCLA; and (iv) any investigation, cleanup, monitoring, remedial, removal or restoration work required by any federal, state or local governmental agency or political subdivision or other third party in connection or associated with the Property or any improvements, facilities or operations located or formerly located thereon (collectively, "Released Claims"); provided, however, the foregoing release shall not apply to the extent such Losses are proximately caused by the gross negligence or willful misconduct of the City following the Closing Date. Furthermore, the Grantee shall indemnify, defend (through an attorney reasonably acceptable to the City) and hold the Indemnified Parties harmless from and against any and all Losses which may be made or asserted by any third parties (including, without limitation, any of the Grantee Parties) arising out of or in any way connected with, directly or indirectly, any of the Released Claims, except as provided in the immediately preceding sentence for the City's gross negligence or willful misconduct following the Closing Date. The Grantee Parties waive their rights of contribution and subrogation against the Indemnified Parties.
Section 4. The covenant of release in Section 3 above shall run with the Property, and shall be binding upon all successors and assigns ofthe Grantee with respect to the Property, including, without limitation, each and every person, firm, corporation, limited liability company, trust or other entity owning, leasing, occupying, using or possessing any portion of the Property under or through the Grantee following the Closing Date. The Grantee acknowledges and agrees that the foregoing covenant of release constitutes a material inducement to the City to convey the Property, and that, but for such release, the City would not have agreed to convey the Property to the Grantee. It is expressly agreed and understood by and between the Grantee and the City that, should any future obligation ofthe Grantee or Grantee Parties arise or be alleged to arise in connection with any environmental, soil or other condition of the Property, the Grantee and any ofthe Grantee Parties shall not assert that those obligations must be satisfied in whole or in part by the City, because Section 3 contains a full, complete and final release of all such claims, except as provided in such section for the City's gross negligence or willful misconduct following the Closing Date.
Section 5. Section 3 shall survive the Closing Date.
City shall grant Grantee a right of entry, in the City's customary form and subject to City's receipt from Grantee of required documentation (e.g., evidence of insurance and an Economic Disclosure Statement and Affidavit that is current as of the date of the right of entry), in order for Grantee to perform or cause to be performed any structural, physical and environmental inspections ofthe Property as Grantee deems necessary; provided, however, City shall have the

right to review and approve the scope of work. The City reserves the right to reject any structural, physical and/or environmental inspection reports, including, but not limited to any Phase I or Phase II environmental site assessment reports, submitted to the City and conducted on the Property without a fully executed right-of-entry.

Grantee acknowledges that City is not liable for, or bound in any manner by, any express or implied warranties, guarantees, promises, statements, inducements, representations or information pertaining to the Property made or furnished by any real estate agent, broker, employee, or other person representing or purporting to represent the City, including, without limitation, with respect to the physical condition, size, zoning, income potential, expenses or operation thereof, the uses that can be made ofthe same or in any manner or thing with respect thereof.

Section 6. The Grantee shall remove any soil or soil gas not meeting the requirements of 35 IAC Section 742.305. Any additional discovered underground storage tanks ("USTs") identified must be removed and closed in accordance with applicable regulations including Title 41 of IAC Part 175 and any identified leaking USTs must be properly addressed in accordance with 35 IAC Part 734.
Section 7. The Grantee provided the City with a Phase I Environmental Site Assessment ("Phase I ESA") compliant with ASTM E-1527-13 for the Property prior to the conveyance of the Property. The Phase I ESA for the Property identified an underground storage tank ("UST") as the only Recognized Environmental Condition ("REC"). The City removed the tank and received a No Further Remediation ("NFR") Letter for the Property. The Grantee must abide by the terms and conditions ofthe Final NFR letter.
Section 8. The Grantee has obtained a hazardous materials survey to address the asbestos and lead based paint at the Property. Prior to renovation, the Grantee must develop an abatement plan, and the final Working Drawings and Specifications must be consistent with such abatement plan. Lead-based paint and asbestos abatement must be completed in accordance with all local, state and federal regulations and, as required by the City, the Grantee must develop and either implement or cause to be implemented an operations and maintenance plans for any regulated materials to be left in place.

EXHIBIT C

PROPOSALS

Application #1 for Negotiated Sale of Redevelopment Project Area Properties was submitted
September 24, 2017 by 4841 Lipps LLC (the 'Grantee').
The proposal is to remediate the lead-based paint and asbestos contamination throughout the building; rehabilitate/renovate the existing first floor space to accommodate an identified restaurant/brewpub and craft brewing operation; rehabilitate/renovate the existing second floor to create five apartments; and add a third floor to the building to accommodate four additional apartments. Applicant checked the box for 'Proposed Purchase Price' that stated "Market Value as determined by City-ordered appraisal."

Application #2 for Negotiated Sale of Redevelopment Project Area Properties was submitted August 20, 2020 (addendum to question #19 of application received 8/26/20) by United Brotherhood of Carpenters & Joiners of America: Local Union # 58.
The proposal is to remediate the lead-based paint and asbestos contamination throughout the building, rehabilitate/renovate the first floor space for a purpose or tenant that has not yet been identified; renovate the second floor as office space for the Applicant #2; and add a green roof and solar panels to the roof. Applicant checked the box for 'Stated Price' and listed $1.00

Application #3 for Negotiated Sale of Redevelopment Area Properties was submitted August 24,
2020 by the Copernicus Foundation.
The proposal is to remediate the lead-based paint and asbestos contamination throughout the building, rehabilitate/renovate the first floor space for a restaurant/brewpub that was not identified; renovate the second floor to create four apartments; and create a rooftop deck for tenants. Applicant checked the box for 'Stated Price' and listed $300,000.
The Department of Housing evaluated all three proposals according to the following criteria:

Evidence of financing or financial resources - 4841 Lipps LLC has a letter of pre-approval for financing from Burling Bank; and principal has existing bank/loan relationships with three other lending institutions.

The City's Governmental Ethics Ordinance, MCC Chapter 2-156, imposes certain duties and obligations on persons or entities seeking City contracts, work, business, or transactions.
