ORDINANCE

WHEREAS, the City of Chicago ("City") is a home rule unit of government by virtue of the provisions of the Constitution of the State of Illinois of 1970, and as such, may exercise any power and perform any function pertaining to its government and affairs; and
WHEREAS, pursuant to ordinances adopted by the City Council of the City ("City Council") on October 7, 1998, and published in the Journal of Proceedings ofthe City Council ("Journal") for said date at pages 78137 and 78139 through 78242, the City Council approved a certain redevelopment plan and project ("Redevelopment Plan") for the 71st and Stony Island Tax Increment Financing Redevelopment Project Area ("Redevelopment Area"); and

WHEREAS, the City is the owner of the vacant land located at 6941 South Stony Island Avenue, Chicago, Illinois 60649, which is located in the South Shore Community Area and is legally described on Exhibit A attached hereto (the "City Land"); and

WHEREAS, the City Land is located in the Redevelopment Area and is comprised of approximately 0.3 acres (13,165 square feet); and

WHEREAS, the market value of the City Land is $160,000 (the "Purchase Price") based on an appraisal dated August 18, 2020; and
WHEREAS, Diamond Realty Management Services, Inc., an Illinois corporation ("Grantee"), has offered to purchase the City Land from the City for the Purchase Price; and

WHEREAS, Grantee owns the real property located adjacent to the City Land at 6945-49 South Stony Island Avenue, which is improved with a commercial building (the "Building"); and
WHEREAS, Grantee is currently renovating the Building and intends to develop the Gity Land as a parking lot to complement the renovation and serve the adjacent commercial space, which use is consistent with the purposes and objectives ofthe Redevelopment Plan; and

WHEREAS, the City Land was previously used as a gas station from at least 1926 through the late-1990s; and
WHEREAS, given this prior use and the potential for environmental contamination, the City is conveying the City Land to Grantee subject to a use restriction, prohibiting the use of the City Land for anything other than a parking lot without the prior approval of the City and compliance with all City requirements, which may include enrolling the site in the Illinois Environmental Protection Agency's Site Remediation Program; and

WHEREAS, by resolution adopted on June 17, 2021, the Chicago Plan Commission approved the conveyance of the City Land to Grantee; and

WHEREAS, public notices advertising the Department's intent to enter into a negotiated sale of the City Land with Grantee and requesting alternative proposals appeared in the Chicago Tribune on June 15 and 22, 2021; and

WHEREAS, no alternative proposals were received by the deadline indicated in the aforesaid notices; and

WHEREAS, the City Council previously authorized the conveyance of the City Land to Illinois Power Development LLC, an Illinois limited liability company and an affiliate of Grantee (the "Affiliate"), by ordinance adopted on June 12, 2019, and published in the Journal for said date at pages 802 through 843 (the "2019 Ordinance"): and

WHEREAS, the Affiliate is no longer interested in purchasing the City Land in accordance with the terms of the 2019 Ordinance, and the Department of Planning and Development (the "Department") has determined that it is in the best interests of the City to repeal the 2019 Ordinance; now therefore,

BE IT ORDAINED BY THE CITY COUNCIL OF THE CITY OF CHICAGO:

SECTION 1. The foregoing recitals are hereby adopted as the findings ofthe City Council.
SECTION 2. The City Council hereby approves the sale of the City Land to Grantee in its "as is" condition forthe Purchase Price.

SECTION 3. The Mayor or her proxy is authorized to execute, and the City Clerk or Deputy City Clerk is authorized to attest, a quitclaim deed conveying the City Land to Grantee, or to a land trust of which Grantee is the sole beneficiary, or to an entity of which Grantee is the sole controlling party or which is comprised of the same principal parties, in substantially the form attached hereto as Exhibit B.

SECTION 4. The Commissioner of the Department (the "Commissioner"), or a designee of the Commissioner, is each hereby authorized, subject to the review and approval of the City's Corporation Counsel as to form and legality, to negotiate, execute and deliver such other documents and take such other actions as may be necessary or appropriate to carry out and comply with the provisions of this ordinance.

SECTION 5. If any provision of this ordinance shall be held to be invalid or unenforceable for any reason, the invalidity or unenforceability of such provision shall not affect any of the other provisions of this ordinance.

SECTION 6. The 2019 Ordinance is hereby repealed in its entirety, and all other ordinances, resolutions, motions or orders inconsistent with this ordinance are hereby repealed to the extent of such conflict.

SECTION 7. This ordinance shall take effect upon its passage and approval.

THE CITY OF CHICAGO, an Illinois municipal corporation and home rule unit of government, having its principal offices at 121 North LaSalle Street, Chicago, Illinois 60602 ("Citv" or "Grantor"), for and in consideration of One Hundred Sixty Thousand and 00/100 Dollars ($160,000), conveys and quitclaims all interest in the real property legally described and identified on Exhibit A attached hereto (including any improvements located thereon, the "Property"),

This conveyance is expressly subject to the following COVENANTS, RESTRICTIONS, AND CONDITIONS, which are a part of the consideration for the Property and which shall run with the land and be binding upon and enforceable against the Grantee and the Grantee's successors and assigns, in perpetuity (unless a shorter period is expressly stated below):

1. Covenant to Build Parking Lot. Grantee shall construct a surface parking lot on the Property in accordance with the general layout and landscaping depicted on Exhibit B attached hereto (the "Parking Lot Site Plan") within twelve (12) months of the date of this Deed, provided that plantings may be delayed for an additional six (6) months if consistent with good landscaping practices. No material deviation to the Parking Lot Site Plan is permitted without written approval from the Department of Planning and Development. The parking lot shall also meet the parking requirements of Chapter 17-10 of the Chicago Zoning Ordinance and the Guide to the Chicago Landscape Ordinance. If these conditions are not met, the City may re-enter the Property and revest title in the City. Grantee covenants to execute and deliver to the City a reconveyance deed to the Property tc further evidence such revesting of title. This right of reverter in favor of the City shall terminate upon the issuance of a certificate of completion, release or similar instrument by the City.

Use Restriction. The Property was previously used as a gas station from at least 1926 through the late-1990s. Given this prior use and the potential for environmental contamination, the City is conveying the Property for use as a paved parking lot only. Grantee acknowledges and agrees that no other use is permitted without the City's prior review and written approval. If Grantee wishes to develop the Property for an alternative use, Grantee must notify the Department of Assets, Information, and Services or its successor agency (the "Department") prior to commencing construction and take all steps necessary, as determined by the Department, to put the Property in a condition which is suitable for its intended use, which may include enrolling the Property in the Illinois Environmental Protection Agency's Site Remediation Program ("SRP") and obtaining a No Further Remediation Letter from the IEPA approving the alternative use of the Property. The City shall have the right to exercise all remedies available at law and in equity for violation of this use restriction, and may record a notice of default against the Property if the Grantee fails to obtain the Department's prior written approval prior to commencing construction of an alternative use.
"As Is" Sale. Grantee acknowledges that Grantee has had an opportunity to inspect the Property and has relied solely upon its own inspection and other due diligence activities in deciding to acquire the Property, and not upon any information provided by or on behalf of the City or its agents with respect thereto. Grantee acknowledges and agrees that the Property is being conveyed, and Grantee accepts the Property, in its "AS IS," "WHERE IS" and "WITH ALL FAULTS" condition as ofthe date of this Deed without any covenant, representation, or warranty, express or implied, of any kind, as to the structural, physical or environmental condition of the Property, its compliance with any Laws, or the suitability or merchantability of the Property for any purpose whatsoever. Grantee acknowledges and agrees that Grantee is solely responsible for any investigation and remediation work necessary to put the Property in a condition which is suitable for its intended use.
Release of City. Grantee, on behalf of itself and its officers, directors, employees, successors, assigns and anyone claiming by, through or under any of them, including, without limitation, each and every person, firm, corporation, limited liability company, trust or other entity owning, leasing, occupying, using or possessing any portion ofthe Property under or through Grantee following the date of this Deed (collectively, the "Grantee Parties"), hereby releases, relinquishes and forever discharges the City, its officers, agents and employees (collectively, the "Indemnified Parties"), from and against any and all losses, damages, obligations, claims, actions, suits, demands, liabilities, judgments, fines, penalties, costs, expenses and disbursements of any kind or nature whatsoever (collectively, "Losses"), which Grantee Parties ever had, now have, or hereafter may have, whether grounded in tort or contract or otherwise, in any and all courts or other forums, of whatever kind or nature, whether known or unknown, foreseen or unforeseen, now existing or occurring after the date of this Deed, based upon, arising out of or in any way connected with, directly or indirectly: (i) any environmental contamination, pollution or hazards associated with the Property or any improvements, facilities or operations located or formerly located thereon, including, without limitation, any release, emission, discharge, generation, transportation, treatment, storage or disposal of hazardous substances, or threatened release, emission or discharge of hazardous substances; (ii) the structural, physical or environmental condition of the Property, including, without limitation, the presence or suspected presence of hazardous substances in, on, under or about the Property or the migration of hazardous substances from or to other property; (iii) any violation of,|1010|
compliance with, enforcement of or liability under any environmental laws, including, without limitation, any governmental or regulatory body response costs, natural resource damages or Losses arising under the Comprehensive Environmental Response, Compensation and Liability Act, 42 U.S.C. § 9601 efseg. ("CERCLA") and the Resource Conservation and Recovery Act, 42 U.S.C. § 6901 et seq. ("RCRA"), and (iv) any investigation, cleanup, monitoring, remedial, removal or restoration work required by any federal, state or local governmental agency or political subdivision or other third party in connection or associated with the Property or any improvements, facilities or operations located or formerly located thereon (collectively, "Released Claims"). Grantee Parties waive their rights of contribution and subrogation against the Indemnified Parties. Grantee acknowledges and agrees that the foregoing covenant of release constitutes a material inducement to the City to convey the Property, and that, but for such release, the City would not have agreed to convey the Property to Grantee. It is expressly agreed and understood by and between Grantee and the City that, should any future obligation of Grantee or Grantee Parties arise or be alleged to arise in connection with any environmental, soil or other condition ofthe Property, neither Grantee nor any other Grantee Parties shall assert that those obligations must be satisfied in whole or in part by the City, because this covenant contains a full, complete and final release of all such claims

5. Affordable Housing. Grantee acknowledges that the sale of City-owned land triggers Section 2-44-085 of the Municipal Code of Chicago (as hereafter amended, supplemented or replaced, the "Affordable Requirements Ordinance" or the "ARO"), and therefore, that if Grantee subsequently develops the Property with a residential project, such project may be subject to the requirements ofthe ARO.

Indicia of control include, without limitation: interlocking management or ownership; identity of interests among family members, shared facilities and equipment; common use of employees; or organization ofa business entity following the ineligibility of a business entity to do business with federal or state or local government, including the City, using substantially the same management, ownership, or principals as the ineligible entity.
