This Certificate is delivered in connection with the execution and delivery ofthe Line of Credit Note (the "Note") pursuant to the terms ofthe Revolving Line of Credit Agreement, dated as of December 1, 2021 (the "RBC Line of Credit Agreement") by and among the City and RBC Capital Markets, LLC and the Royal Bank of Canada, acting through its New York, New York branch (collectively. "RBC "). The City entered into the RBC Line of Credit Agreement pursuant to an Ordinance adopted on May 1. 2002 authorizing the execution and delivery of one or more line of credit agreements with one or more commercial banks and other financial institutions (the "Initial Ordinance"), (ii) an Ordinance adopted on March 24. 2012 amending the Initial Ordinance (the "First Amendatory Ordinance"), and (iii) an Ordinance adopted on February 5, 2014 (the "Second Amendatory Ordinance " together with the Initial Ordinance and the First Amendatory Ordinance, the "Ordinance").
